Terms of Service

Please read these terms carefully before using AutoNet Networks. They explain your rights and obligations as a user or operator of the platform.

These Terms of Service ("Terms") govern your access to and use of the AutoNet Networks platform, including our website, dashboards, captive portals, mobile services, APIs, and any related services (collectively, the "Service"). The Service is operated by AutoNet Networks ("we", "us", "our").

By registering an account, onboarding a router, purchasing a package, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

Plain-language summary: AutoNet Networks provides software that lets ISPs and hotspot operators manage WiFi access, process M-PESA payments, deliver vouchers, and monitor usage. We are the software provider — not the internet service itself. Your local operator is responsible for the actual connectivity you receive.

1. Definitions

  • "Platform" means the AutoNet Networks software, dashboards, APIs, and related tooling.
  • "Operator" means an ISP, hotspot owner, or reseller who uses the Platform to serve end users.
  • "End User" means a person who connects to WiFi or PPPoE services managed through the Platform.
  • "Account" means the login credentials and configuration issued to an Operator.
  • "Voucher" means a code or credentials issued to an End User granting time or data on a hotspot.
  • "M-PESA" means the mobile money service operated by Safaricom PLC.

2. Eligibility

You must be at least 18 years old and legally capable of entering into a binding contract to use the Service as an Operator. By using the Service, you represent that you meet these requirements and that all information you provide is accurate, current, and complete.

3. Account Registration and Security

  • You are responsible for maintaining the confidentiality of your Account credentials.
  • You must notify us immediately of any unauthorised access or suspected breach.
  • You are responsible for all activity that occurs under your Account, whether or not authorised by you.
  • We may suspend or terminate Accounts that we reasonably believe are compromised, fraudulent, or abusive.

4. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law, including the Kenya Information and Communications Act, the Computer Misuse and Cybercrimes Act, and the Data Protection Act, 2019;
  • Transmit malware, spam, or any harmful or unlawful content;
  • Interfere with or disrupt the Service, its infrastructure, or other users;
  • Attempt to gain unauthorised access to any part of the Service or its related systems;
  • Resell, sublicense, or otherwise commercially exploit the Service except as expressly permitted in writing.

5. Operator Responsibilities

If you use the Service as an Operator, you are solely responsible for:

  • The legality of your network operations and any licences or permits required;
  • The accuracy of pricing, packages, and descriptions you publish to End Users;
  • Fulfilling the internet, hotspot, or PPPoE service you sell to End Users;
  • Handling End User complaints, refunds, and disputes in accordance with applicable law;
  • Complying with all tax, consumer protection, and data protection obligations that apply to your business.

AutoNet Networks provides the Platform only. We are not a party to the contract between you and your End Users, and we do not guarantee that any End User will pay for or continue to use your service.

6. Payments, M-PESA, and Fees

6.1 Platform Fees

Fees for the use of the Platform are set out on our Pricing page. Unless otherwise agreed in writing, fees are charged per active PPPoE subscriber and as a percentage of hotspot sales, subject to the applicable minimum monthly fee. All fees are exclusive of VAT and any other applicable taxes unless stated otherwise.

6.2 M-PESA Payments

  • Payment processing is provided through Safaricom's M-PESA service via a licensed payment gateway. We do not store your End Users' M-PESA PINs or full mobile money credentials.
  • Once an M-PESA payment is confirmed by Safaricom, access is activated automatically. Confirmed payments are generally non-refundable, except where required by law or where the Service has failed on our side.
  • You are responsible for reconciling payments in your dashboard. Report discrepancies within 14 days of the transaction date.
  • We are not liable for delays, failures, or reversals caused by Safaricom, banks, or other third-party payment providers.

6.3 Late Payment and Suspension

If fees remain unpaid after the due date, we may suspend or terminate your access to the Platform after reasonable notice. Reactivation may be subject to payment of outstanding amounts and any applicable reactivation fee.

7. Data Protection and Privacy

Our handling of personal data is described in our Privacy Policy. In summary:

  • We process personal data in accordance with the Data Protection Act, 2019 (Kenya) and, where applicable, the GDPR.
  • You, as an Operator, act as a data controller for the End User data you collect through the Platform. AutoNet Networks acts as a data processor on your behalf for that data.
  • You must obtain any consents required from your End Users before collecting or processing their personal data.
  • We implement reasonable technical and organisational measures to protect the data we process, but no system can be guaranteed to be 100% secure.

8. Intellectual Property

The Platform, including all software, source code, documentation, designs, and trademarks, is owned by AutoNet Networks or its licensors and is protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable licence to use the Platform during your subscription. You may not reverse engineer, decompile, resell, or create derivative works from the Platform except as expressly permitted by law.

9. Service Availability

We aim for high availability but do not guarantee uninterrupted or error-free operation. The Platform may be unavailable due to:

  • Scheduled maintenance, of which we will give reasonable notice where possible;
  • Emergency maintenance to address security or stability issues;
  • Failures of third-party services, including Safaricom, ISPs, or cloud providers;
  • Events beyond our reasonable control (force majeure).

10. Limitation of Liability

To the maximum extent permitted by law, AutoNet Networks shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of the Service.

Our total aggregate liability arising out of or relating to these Terms shall not exceed the total Platform fees you paid to us in the three (3) months preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under Kenyan law.

11. Indemnity

You agree to indemnify and hold harmless AutoNet Networks, its directors, officers, employees, and agents from any claims, damages, liabilities, costs, or expenses (including reasonable legal fees) arising out of:

  • Your use of the Service in violation of these Terms or applicable law;
  • Your content, packages, pricing, or claims made to End Users;
  • Your breach of any third-party rights, including data protection rights.

12. Suspension and Termination

  • You may terminate your Account at any time by contacting us in writing.
  • We may suspend or terminate your access immediately if you materially breach these Terms, if required by law, or if we reasonably believe your Account poses a security, legal, or fraud risk.
  • On termination, your right to use the Platform ceases immediately. Sections that by their nature should survive termination (including IP, indemnity, and liability) will survive.
  • Prepaid fees are non-refundable unless required by law.

13. Modifications to the Service and Terms

We may update the Service and these Terms from time to time. Material changes will be notified by email or through the dashboard at least fourteen (14) days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Republic of Kenya. Any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of Kenya, without prejudice to any right you may have to seek relief from a competent regulatory authority such as the Communications Authority of Kenya or the ODPC.

Before commencing formal proceedings, the parties agree to attempt in good faith to resolve any dispute through negotiation for a period of at least thirty (30) days.
